Contract Rescission

Contract

Learn about contract rescission under Egyptian law, required documents, filing procedures, and the legal consequences of contract termination.

Contract rescission is an important subject under Egyptian civil law. Disputes may arise when one party fails to perform contractual obligations or breaches agreed terms. In such circumstances, the other party may be entitled to seek performance of the contract or its rescission, subject to the applicable legal requirements and the nature of the contractual relationship.

Contract rescission is not limited to one type of transaction. It may arise in disputes involving sale agreements, leases, construction contracts, partnership agreements, and other contractual relationships. However, the grounds, requirements, and legal consequences vary according to the type of contract and the rules governing it.

What Is Contract Rescission?

Contract rescission generally refers to the dissolution of a contractual relationship because one party has failed to perform an obligation arising from the agreement, or because another legally recognized ground for rescission has occurred.

Under Article 157 of the Egyptian Civil Code, in bilateral contracts, a party may, after placing the defaulting party in default where required, seek performance of the contract or rescission, together with compensation where legally justified.

A disagreement between the parties does not automatically mean that the contract has been rescinded. The legal basis for rescission, the applicable requirements, and whether a court judgment is needed must be assessed in light of the contract and the relevant law.

What Are the Grounds for Contract Rescission?

The grounds depend on the contract and the obligations involved. Potential grounds may include:

1. Failure to Perform Contractual Obligations

If a party fails to perform an essential contractual obligation, the other party may be entitled to seek rescission, provided the legal requirements are satisfied and the breach is sufficiently significant.

2. Delay in Performance

A delay may justify a request for rescission if it amounts to a legally relevant breach under the agreement and applicable law. The importance of the deadline and the nature of the obligation must be considered.

3. Failure to Pay Amounts Due

Failure to pay the purchase price, installments, or other amounts due under a contract may support a rescission claim where the applicable requirements are met.

4. Breach of Essential Contractual Terms

A breach of an essential term may give the other party grounds to seek rescission, depending on the significance of the term, the nature of the breach, and its consequences.

5. Occurrence of an Agreed Rescission Condition

A contract may contain a clause providing for rescission upon a specified breach. Its effect depends on the wording of the clause and compliance with applicable legal requirements, including any required notice or formal demand.

6. Impossibility of Performance

Under Article 159 of the Egyptian Civil Code, where an obligation in a bilateral contract becomes impossible to perform, the corresponding obligations may lapse and the contract may be dissolved by operation of law. The reason for the impossibility and the applicable legal rules must be examined.

Not every breach or difficulty in performance automatically justifies rescission. The outcome depends on the obligation, the seriousness of the breach, and the surrounding circumstances.

What Are the Requirements for Filing a Contract Rescission Lawsuit?

The requirements depend on the contract, the grounds for rescission, and the relief sought. Relevant issues may include:

1. An Existing Binding Contract

The claimant must identify the agreement and the obligations it imposes on the parties, together with the legal rules governing rescission.

2. Evidence of Breach

The claimant should provide evidence that the other party failed to perform a contractual obligation or that another legally recognized ground for rescission has occurred.

3. Notice to the Defaulting Party Where Required

Article 157 addresses placing the defaulting party in default before seeking rescission in the circumstances it governs. The notice requirement may depend on the nature of the obligation, the contract, any valid agreement waiving notice, and any special rules applicable to the dispute.

4. A Breach Sufficient to Justify Rescission

Under Article 157, the court may refuse rescission if the unperformed part of the obligation is of minor importance in relation to the obligation as a whole.

5. A Legal Interest in Seeking Rescission

The claimant must have a legally recognized interest in ending the contractual relationship, and the requested relief must relate to the parties’ contractual rights and obligations.

Satisfying one requirement does not guarantee success. The court determines the case based on the agreement, evidence, facts, and applicable law.

What Are the Types of Contract Rescission?

The applicable mechanism depends on the parties’ agreement and the legal grounds involved.

1. Judicial Rescission

Judicial rescission is sought from a court because the other party has failed to perform contractual obligations. The court examines whether the requirements for rescission have been satisfied.

Under Article 157, the court may grant the defaulting party additional time to perform if circumstances justify it. It may also refuse rescission where the breach is of minor importance in relation to the obligation as a whole.

2. Contractual Rescission

The parties may agree that a contract will be considered rescinded if specified obligations are not performed.

Article 158 of the Egyptian Civil Code addresses such agreements. An agreement providing for rescission without a court judgment does not eliminate the requirement for notice unless the parties expressly agree to waive it, subject to the applicable legal requirements.

3. Dissolution Due to Impossibility of Performance

Article 159 provides that, in bilateral contracts, if an obligation becomes impossible to perform and is extinguished, the corresponding obligations are also extinguished and the contract is dissolved.

Whether this rule applies depends on the cause of the impossibility and the circumstances of the case.

What Documents May Be Required?

The necessary documents depend on the contract and the alleged grounds for rescission. They may include:

  • The original contract or a copy accepted under the applicable procedural rules.
  • Documents showing that the claimant performed, or was ready to perform, their own obligations where relevant.
  • Evidence of the other party’s breach, such as financial records, correspondence, or delivery and acceptance documents.
  • A formal notice or evidence of placing the other party in default, where required.
  • Documents establishing payments made or amounts due.
  • Documents relating to an agreed rescission clause or other asserted grounds.
  • Information needed to prepare and file the claim and serve the parties.

There is no universal document checklist for every contract. The appropriate documents should be identified after reviewing the agreement and the circumstances of the dispute.

What Are the Procedures for Filing a Rescission Lawsuit?

The exact procedures depend on the contract and the competent court. The general steps may include:

1. Reviewing the Contract and Identifying the Grounds

The contract is examined to identify the parties’ obligations, the alleged breach, any rescission clause, and whether the requirements for seeking rescission are met.

2. Giving Notice Where Required

If notice is legally required, the appropriate steps should be taken to notify the defaulting party of the need to perform the obligation, subject to the contract and applicable law.

3. Collecting Supporting Evidence

The claimant gathers the contract, evidence of performance and breach, and any documents supporting related claims, such as repayment or compensation where legally justified.

4. Preparing the Statement of Claim

The statement of claim sets out the parties’ details, the contract, the relevant facts, the grounds for rescission, and the relief requested.

5. Filing the Claim and Serving the Parties

The claim is filed before the competent court, and the parties are served in accordance with the applicable procedural rules.

6. Court Proceedings

The court reviews the agreement, documents, and arguments, then determines whether the grounds and requirements for rescission have been established and what legal consequences follow.

The court may grant rescission, reject the claim, or reach another outcome depending on the evidence and applicable law.

What Are the Legal Effects of Contract Rescission?

The effects depend on the type of contract, the grounds for rescission, and the manner in which it occurs.

Article 160 of the Egyptian Civil Code provides that, following rescission, the parties are restored to the position they were in before the contract. If restoration is impossible, compensation may be awarded.

Depending on the circumstances, the effects may include:

  • Returning what each party received under the contract.
  • Repayment of amounts paid where the legal requirements are met.
  • Returning the subject matter of the transaction to its owner where legally possible.
  • Seeking compensation where the legal requirements are satisfied.
  • Taking additional steps to remove the effects of a transaction or amend relevant records where required.

The retroactive effect of rescission does not operate identically in every contract. Ongoing or time-based contracts, such as a lease after performance has begun, may not be capable of being restored entirely to their original position. Their consequences must be assessed under the rules applicable to their nature.

Can a Contract Be Rescinded Without Going to Court?

This may be possible in certain circumstances, depending on the contract and applicable law.

A contract may contain an express rescission clause that operates when a specified event occurs. A contract may also be dissolved by operation of law in cases of impossibility under Article 159, where the requirements are met.

However, sending a notice or identifying a breach does not necessarily mean that the contract has definitively ended. A dispute may arise over whether the clause was triggered or whether the legal requirements were satisfied, and court proceedings may be needed to resolve the dispute or determine the legal consequences.

What Is the Difference Between Rescission, Invalidity, and Termination?

These concepts differ in their grounds and legal effects.

Rescission

Rescission is generally associated with a failure to perform a contractual obligation or another ground that permits the contractual relationship to be dissolved under the law or agreement.

Invalidity

Invalidity concerns a defect or failure to satisfy a legal requirement affecting the contract’s validity when it was formed, depending on the applicable rules.

Termination

Termination may result from mutual agreement or the exercise of a termination right provided by law or contract. In some ongoing contractual relationships, termination may operate prospectively, depending on the applicable rules.

The distinction affects the appropriate legal claims and the financial and legal consequences that may be sought.

Can Compensation Be Claimed Alongside Rescission?

Yes. Compensation may be claimed alongside rescission where the legal requirements for compensation are satisfied.

Article 157 of the Egyptian Civil Code allows compensation to be sought alongside performance or rescission where justified. The court must examine the relevant legal requirements, including fault, damage, causation, and any other applicable conditions.

Compensation is not automatically awarded whenever a contract is rescinded. Its availability depends on the legal basis and supporting evidence.

Importance of Legal Consultation

The outcome of a contract rescission lawsuit depends on the legal grounds for rescission, proof of the breach, compliance with notice requirements where applicable, and the nature of the contractual obligations. Choosing an unsuitable remedy or overlooking a required procedure may prolong the dispute or affect the prospects of obtaining the requested judgment.

Therefore, it is advisable to consult a lawyer experienced in civil litigation and contract disputes before taking steps to rescind a contract. A lawyer can review the contractual terms and evidence, assess whether the legal requirements are met, evaluate potential claims for repayment or compensation, and explain the appropriate legal procedures.
